Flick Gocke Schaumburg advises CellForm Holding GmbH on strategic investment by ALBERT WEBER

Flick Gocke Schaumburg has advised CellForm Holding GmbH, group parent of the CellForm Group (“CellForm”), on an acquisition of shares by Weber Holding GmbH, part of the ALBERT WEBER Group (“ALBERT WEBER”). With a total investment amounting to double-digit millions, ALBERT WEBER is progressively acquiring a larger stake in CellForm as a long-term strategic investor. The parties have agreed not to disclose financial details.

In the coming years, ALBERT WEBER and CellForm plan to invest double-digit millions to establish mass production of bipolar plates. CellForm aims to position itself as one of the leading suppliers in this industry. Series production will take place at ALBERT WEBER’s plants in Germany. A technology center for research and development activities will also be set up there.

CellForm was advised in the transaction by Hübner Schlösser & Cie as the exclusive M&A advisor under the lead of Dominik Mayer and Jan Cotta.

CellForm develops and produces bipolar plates for fuel cells and electrolysis systems. Founded in 2021 through a collaborative effort involving Hagel Automation GmbH and Askea Feinmechanik GmbH and following extensive preliminary development by Gebhardt Werkzeug- und Maschinenbau GmbH, CellForm specializes in forming technology for metallic bipolar plates.

For over 50 years, ALBERT WEBER has been manufacturing drive components for the international automotive industry. Traditional metal processing in casting, machining, and assembly is now being transformed towards new mobility and energy. The company’s headquarters is located in Markdorf on Lake Constance, with production taking place in multiple plants in Germany and one in Hungary.<<<
