Flick Gocke Schaumburg advises Brainpool shareholders on sale of shares to Banijay and termination of legal disputes

Supported by Flick Gocke Schaumburg, the founders and minority shareholders of the Brainpool Group, Jörg Grabosch and Dr. Andreas Scheuermann, have reached an agreement with the Banijay Group on their exit from Brainpool. The sale of their shares means that Banijay will become Brainpool’s sole shareholder.

At the same time, the parties agreed to terminate all ongoing legal proceedings. The Brainpool co-founders had become minority shareholders after Stefan Raab sold his Brainpool shares to the French Banijay Group in 2018. They took out numerous injunctions to protect themselves against the shifts of power.

Grabosch and Scheuermann were advised by Dieter Leuering (Corporate Litigation) and Alexander Goertz (M&A) throughout the legal proceedings.

The Brainpool Group is a leading producer of entertainment shows on German television, such as Schlag den Star (ProSieben), Free European Song Contest (ProSieben), Pastewka (Amazon), Luke! Die Schule und ich (Sat.1), Der Trödeltrupp (RTLzwei), Mein Lokal, dein Lokal (Kabeleins), Temptation Island (RTL/RTL NOW) and Survivor (Vox).
