Flick Gocke Schaumburg has advised the Austrian family-owned company binderholz on the acquisition of BSW Timber Ltd. from the financial investor Endless LLP and the management. The deal is due to be completed by the end of this year.

With the acquisition of BSW, binderholz will become the largest company in the sawmill and solid wood processing industry in Europe with around 5,000 employees at 29 locations in Austria, Germany, the UK, Latvia, Finland, and the US.

Advisors to binderholz: Flick Gocke Schaumburg (Hamburg)

Dr Fred Wendt, Christian Zimmermann (project co-leads); associates: Dr Christoph Brünger (all corporate / M&A)

Dr Fred Wendt’s team advised binderholz last year on the acquisition of two US sawmills: Klausner Lumber One LLC, Live Oak, Florida, and Klausner Lumber Two LLC, Enfield, North Carolina. Cravath Swaine & Moore was the advisor on US law for those acquisitions. Flick Gocke Schaumburg advised binderholz on the acquisition of BSW together with Macfarlanes.

BSW was founded in 1848 in Earlston, Scotland, and is the largest sawmill group in the UK with revenues of around GBP 700 million (around EUR 825 million). BSW’s annual production capacity is over 1.2 million cubic metres of sawn timber. It runs seven sawmill sites in the UK and a sawmill in Latvia with around 2,000 employees in total. <<<
