Flick Gocke Schaumburg has advised Dr. Ing. h.c. F. Porsche AG on the acquisition of V4Smart GmbH & Co. KG (formerly V4Drive GmbH) from VARTA AG. The transaction was completed on March 4, 2025. With this acquisition, Porsche and VARTA AG are pooling their expertise in the development and production of high-performance round battery cells.
Porsche is the new majority shareholder of the company, while VARTA AG will retain a minority stake in the company without operational influence.
Flick Gocke Schaumburg is also advising Porsche extensively on the restructuring of the VARTA Group via the German Corporate Stabilization and Restructuring Act ("StaRUG") proceedings, in particular on the acquisition of a stake in VARTA AG. The carve-out of V4Smart from the VARTA Group is an essential part of the restructuring of the VARTA Group.
